Partner Program Terms & Conditions

1. Parties

These terms ("Agreement") are between FrameAI B.V. ("FrameAI", "we", "us") and the structural engineering consultancy or individual ("Partner", "you") who applies to join the FrameAI Partner Program.

2. Program overview

The Partner Program allows Partners to refer third-party firms to FrameAI subscription plans. For each qualifying referral, once the referred customer meets the unlock condition, FrameAI adds 3 months of Pro to the Partner's FrameAI account. There is no cap on how many times a Partner can earn this reward.

3. Reward terms

What the Partner receives: 3 months of Pro free, added to the Partner's FrameAI account per qualifying referral. No cash value, not transferable, no cap on how many times this can be earned.
Condition to unlock: The referred customer must pay for 3 consecutive months of Pro, or the full annual Pro fee. No credit is applied until this condition is met.
Repeat referrals: Each new qualifying referral earns an additional 3 months of Pro — there is no cap. Re-subscriptions by the same customer do not generate additional credits.
What the referred customer receives: Nothing. The referred firm pays the regular price with no discount or benefit.

4. Attribution and referral tracking

Attribution window: 90 days from the referral click (first-click attribution via cookie).
Self-referral: Strictly prohibited. Partners may not refer their own firm or employees.
Cookie: A frameai_partner_ref cookie (90-day expiry) is set when a visitor follows the Partner's unique link. This cookie is used to attribute signups.
Attribution is permanent per customer once confirmed.

5. Reward application

Automatic: Once the unlock condition is met, the 3-month Pro credit is applied automatically to the Partner's FrameAI account. No claim form is required.
Timing: The credit is applied within 7 days of the unlock condition being met.
No cash alternative: The credit cannot be redeemed for cash and has no monetary value outside of FrameAI Pro access.

6. Partner obligations

Represent FrameAI accurately. Do not make claims about the product that exceed its documented capabilities.
Do not use spam, unsolicited mass emails, or deceptive advertising to distribute your referral link.
Comply with all applicable laws and regulations, including GDPR when collecting or processing personal data.
Disclose your affiliate relationship where required by applicable advertising standards (e.g. FTC guidelines, ASA rules).

7. FrameAI rights

FrameAI reserves the right to modify program terms on 30 days' written notice.
FrameAI may suspend or terminate a Partner account immediately on evidence of fraud, self-referral, or material breach of these terms.

8. Intellectual property

FrameAI grants Partners a limited, non-exclusive, non-transferable licence to use FrameAI's name, logo, and marketing materials solely for the purpose of promoting FrameAI subscriptions. No other IP rights are granted.

9. Termination

Either party may terminate this Agreement on 30 days' written notice to the other party (email to partners@polsia.app is sufficient).
On termination, rewards already applied (3 months Pro credit) are honoured. Pending rewards are not earned if the unlock condition is not met before termination.
After termination, no new rewards accrue.

10. Limitation of liability

FrameAI's aggregate liability to a Partner under this Agreement is limited to the total commissions paid to that Partner in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or special damages.

11. Governing law and jurisdiction

This Agreement is governed by the laws of the Netherlands. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

12. Entire agreement

This Agreement constitutes the entire agreement between the parties regarding the Partner Program and supersedes all prior discussions or representations. It may be amended only in writing signed by both parties (or by FrameAI providing 30 days' notice of changes).
